CONSTITUTION AND BYLAWS

The previously existing constitution and bylaws are hereby repealed in their entirety and replaced by the following constitution and bylaws adopted by amendment this 11th day of May, 1998.

PREAMBLE

For the purpose of establishing and maintaining a place for the worship of Almighty God, our heavenly Father; to provide for Christian fellowship for those of like precious faith where the Holy Spirit may be honored according to our distinctive testimony: to assume our share of responsibility and the privilege of propagating the gospel of Jesus Christ by all available means, both at home and in foreign lands; we, whose names appear on the membership roster under the above date, do hereby recognize ourselves as a sovereign Religious Society as defined by New Hampshire Revised Statutes Annotated Chapter 306, and declare that we hereby adopt the following articles of church order and submit ourselves to be governed by them.

CONSTITUTION

ARTICLE ONE: NAME

The name of this corporation (hereinafter known as the church) will be called Church at the Crossroads located in the town of Haverhill, County of Grafton, State of New Hampshire with a mailing address of Post Office Box 363 North Haverhill, NH 03774.

ARTICLE TWO: PURPOSE

The purpose of this church will be to glorify, God by fulfilling the following four objectives:
(l Corinthians 10:31 "Therefore, whether you eat or drink; or whatever you do, do all to the glory of God")

  1. TO LOVE GOD (Exaltation) through worship in praise, prayer, teaching His Word and righteous living.
    (Matthew 4:10; Matthew 22:36-37; Acts 2:42; Romans 12:1-2; Ephesians 5:19-20; Hebrews 13:15-16)

  2. TO LOVE ONE ANOTHER (Edification) through ministry in the body using the gifts of the Spirit with the fruit of the Spirit, bringing spiritual maturity to each person.
    (Romans 12:4-8; I Corinthians 12; Galatians 5:22-23; Ephesians 4:11-13; I John 4:10-11)

  3. TO LOVE OTHERS (Evangelization) through proclamation of the Gospel of Jesus Christ locally and throughout the world to make disciples of all who respond.
    (Matthew 9:36-38; Matthew 28:19-20; Acts 1:8; Acts 8:1-4; Romans 10:12-15)

  4. TO ESTABLISH OTHER CHURCHES AND PROVIDE FOR THEIR DEVELOPMENT (Expansion).  
    (I Corinthians 16:l-4; Romans 1:11-15)

Said organization is organized exclusively for religious purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Integral Revenue Code, or corresponding section of any future tax code.

No part of the net earnings of the organization will inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons. The organization will be authorized and empowered to pay reasonable compensation for the services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.

No substantial part of the activities of the organization will be the carrying on of propaganda, or otherwise attempting to influence legislation. The organization will not participate in. or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.

Notwithstanding any other provision of this document, the organization will not carry on any other activities not pertained to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

ARTICLE THREE: AFFILIATION AND RELATIONSHIP

This church recognizes that it is an affiliate church of Gospel Crusade, Inc. with headquarters at 1200 Glory Way Boulevard, Bradenton, Florida and agrees as a condition of membership to abide by their Statement of Faith as long as they remain true to their Statement of Faith as of this date.

ARTICLE FOUR: STATEMENT OF FAITH

WE BELIEVE:

  1. The Bible to be the inspired and infallible authoritative Word of God.
    (II Timothy 3:16,17; Psalm 19:7,8; II Peter 1:20,21)

  2. There is one God eternally manifested in the persons of the Father, Son and Holy Spirit.
    (John 1:1-3, 14, 17; Genesis 1:1,2; Matthew 3:16,17)

  3. In the virgin birth of Jesus Christ, in His vicarious and atoning sacrifice through His shed blood, in His bodily resurrection, in His ascension, and in His personal return in power and glory upon earth.
    (Acts 1:9-11; Matthew 1:18; I John 1:7; Matthew 28:5,6; John 20:27)

  4. Regeneration and conversion through faith in Jesus Christ is absolutely essential for the salvation of lost and sinful humanity.
    (Acts 4:12; Romans 6:23; 1 Peter 1:18,19; John 14:6)

  5. The gospel includes holiness of heart and life, healing of the body, and a definite personal experience with the Holy Spirit whereby the gifts of the Spirit become active in the life of the believer.
    (Mark 1:15; I Peter 1:13-16; Matthew 10:7,8; I Corinthians 12)

  6. In the bodily resurrection of believers at the end time; and the judgment of all mankind, the just unto eternal life and the unjust unto eternal separation from God.
    (Acts 24:15; I Thessalonians 4:16,17; Revelations 20:12-15)

  7. In the spiritual unity of all believers in our Lord Jesus Christ.

ARTICLE FIVE: DISSOLUTION

Upon dissolution of the organization, all assets will be distributed to its affiliation Gospel Crusade Ministerial Fellowship, Inc. 1200 Glory Way BLVD., Bradenton, Florida. Federal tax exempt number 59-0815021.

Upon dissolution of the organization, assets will be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or will be distributed to the federal government, or to the state or local government, for a public purpose. Any such assets not disposed of will be disposed of by the Court of Common Pleas of the county in which the principal office of the organization or organizations, as said Court will determine, which are organized and operated exclusively for such purposes.

ARTICLE SIX: AMENDMENTS

Amendments to this Constitution may be made at any special or annual meeting if it is on the agenda and will be adopted only upon receiving a majority vote of all listed, active voting members (in good standing) whether present or not.

Note: Only those members present and whose names appear on the active membership roster have the right to cast a vote. Absentee ballots or voting by proxy will not be accepted.

BYLAWS

ARTICLE ONE: MEETINGS

SECTION 1. ORDER OF BUSINESS:

In order to expedite the work of the church business meetings and the official board meetings and to avoid confusion in deliberations, all meetings will be governed by the accepted rules of parliamentary procedure in keeping with the spirit of Christian love and fellowship under the guidance of the Holy Spirit. The parliamentary authority will be Robert's Rules of Order, Newly-Revised, and it will apply when it is not inconsistent with the constitution and bylaws or any special rules of order that this church may adopt in the future.

SECTION 2. MEMBERSHIP MEETINGS:

A. Annual:

An Annual Meeting will be held within two months of the close of the financial year. The purpose of this meeting will be for electing officers and transacting any other business. A two-week posted and verbal notice will be made before a congregational meeting is held.

B. Special:

Special meetings of the members of this church may be called from time to time at the discretion of the Senior Pastor, the Governing Board, or by petition listing twenty percent of the active voting members of this church. Notice of all special meetings will be given by an officer of the Governing Board and will state the purpose or purposes for which the meeting is to be called and will be given to each voting member of the church either personally or by mail not less than ten days before the date of the meeting. No other business will be considered at any special meeting other than that described in said notice.

C. Voting Rights:

Each voting member will be entitled to one vote. Voting by proxy will not be allowed. Absentee ballots may be accepted as deemed necessary. by the Governing Board according to its stipulations.

D. Quorum:

Those voting members present at a properly called meeting will constitute a quorum.

E. Adoption:

The vote of the majority of those votes entitled to be cast will be necessary for adoption of any matter voted upon by the members unless a greater proportion is required by law, the articles of incorporation, or the bylaws.

SECTION 3. GOVERNING BOARD:

A. Regular Meetings:

The Governing Board will meet on a monthly basis for the competent management of the affairs of the church.

  1. It will take a majority of the current Board Members to convene a meeting.

  2. It will take a majority of the Board Members in attendance at any given meeting to pass a motion.

B. Special Meetings:

Anyone on the Governing Board may call special meetings upon one day's notice. Neither the business to be transacted, nor the purpose of said meeting need be specified. One-half of the members of the current Governing Board will constitute a quorum.

C. Notice and Consent:

The Governing Board will not meet without notification to the Senior Pastor. The Senior Pastor will preside at all meetings unless he/she appoints someone to act in his/her behalf. Good faith effort will be made to contact all Governing Board members.

ARTICLE TWO: MEMBERSHIP

Any person who professes faith in Jesus Christ, has accepted Jesus Christ as Lord and Savior, is open to the moving of the Holy Spirit, and assents to this Constitution, may request membership through filling out a membership application.

After full review of application for membership, a vote of membership will take place at the next business meeting of the Governing Board and a majority vote will be needed. Upon approval by the Governing Board, the Senior Pastor or designee will extend the "Right Hand of Fellowship" during worship service making him/her an active member, thereby accepting the new member into fellowship.

SECTION 1. ACTIVE VOTING MEMBER:

All persons whose names appeared on the original membership roll of the church at the time that it was first organized, together with those names that have been added, will constitute the legal voting membership of the church, providing they are eighteen years of age or over, who are living consistent Christian lives, who are in agreement with our Statement of Faith, and who regularly attend and take part in the services.

Extenuating circumstances pertaining to attendance are at the discretion of the Governing Board by recommendation of the Elder Board. It will be each member's responsibility to keep the church secretary notified of his/her current address.

All pastoral staff is automatically voting members.

We encourage members to tithe to this body as well as seek ways to bless others with special offerings.

SECTION 2. HONORARY MEMBERS:

Honorary members will consist of those members who have entered the ministry, as pastors, evangelists, missionaries, religious educators, those serving in the Armed Forces, or those furthering their education, making it impossible to fill their role as active members. Honorary membership recognition will continue as long as the member maintains a cooperative attitude toward the home church. Voting privilege may be granted at the discretion of the Governing Board.

SECTION 3. INACTIVE MEMBERS:

Inactive members will be composed of people that do not fulfill the definition of an active voting member.

SECTION 4. REVIEW OF MEMBERSHIP:

In order to keep the active membership roster current; review will be made during the sixty days prior to the annual business meeting. The Governing Board will be authorized to revise the membership roll of the church annually, and to remove from the list of active/inactive members all names of those who may have become deceased during the year, together with the names of those who may have been removed from membership as noted in the following provisions.

SECTION 5. DISCIPLINE:

Pastors and Elders are responsible for administering discipline and will ensure that Matthew 18:15-17 will be used in all cases. If restoration fails, the provision of Section 6, Expulsion/Loss of Membership will apply.

SECTION 6. EXPULSION/LOSS OF MEMBERSHIP:

A. Absenteeism:

Members who without good cause absent themselves from the services of the church for three consecutive months or more will receive a letter from the Elder Board notifying them of the possibility of being placed on inactive status. If the person doesn't make contact with the Elder Board within thirty days, the Elder Board will be responsible to recommend to the Governing Board inactive status. The Governing Board then authorizes the transfer of Active Membership to Inactive Membership status and all action will be stated in the minutes. The member will become a non-voting member and will lose any legal standing associated with membership. This will remain in effect until such time as an affected member's case has become final either by the member's own inaction, or an appeal is initiated by the member, after the case has been fully reviewed by the Governing Board.

B. Misconduct:

Members who may be out of harmony with the teachings as delineated in Article 4 of the constitution, or who will be under charges of misconduct, living a sinful life and refusing to change (II Thessalonians 3:6, 3:10, Galatians 5:19-21, Ephesians 5:3-7), or engaging in the disruption of fellowship by sowing discord among the brethren; persisting in gossip: and creating trouble in general (James 2:2-13, Proverbs 6:19, Romans 2:1, 2) will be subject to relegation to inactive status. Senior Pastor and Associate Pastor/Elder Board will be responsible to recommend to the Governing Board inactive status. The Governing Board then authorizes the transfer of Active Membership to Inactive Membership status. In other words, he/she will become a non-voting member and will lose any legal standing associated with membership until such time as an affected member's case has become final either by the member's own inaction, or if an appeal is initiated by the member), after the case has been fully reviewed by, the Governing Board. All action will be stated in the minutes.

  1. Notice of Inactive Status: Notice of inactive status and the reasons therefore will be sent by registered mail to the affected member's last known address as noted in the church files. It will be each member's responsibility to keep the church secretary notified of his/her current address. Receipt of said notice will be presumed on the third business day following the letter being posted.

  2. Request for Hearing: Any, member who has been placed on inactive membership status and notified in the manner as delineated above has seven days from which to file a written request with the church secretary for a hearing (and an opportunity to be heard) with the Board of Elders. If the church secretary fails to receive said request within fourteen days, the affected member will automatically lose his/her membership with this church and will have no further right of review or appeal.

  3. Notification: Upon receipt of a Request for Hearing, the affected member will be notified by certified mail of his/her hearing date. Receipt of said notice should be presumed on the third business day following the letter being posted. Said hearing will not be conducted for at least fifteen days following receipt of the notice.

  4. Bearing: The affected member has no right to the presence of an attorney at said hearing but does have a right to present his/her defense and cross examine witnesses who testify against him/her.

  5. Removal: If reinstatement is not granted, the affected person will immediately be expulsed from membership in this church and have no further right to appeal or redress in this church, the civil courts, or elsewhere.

  6. Reinstatement: A former member who has been expulsed from membership due to charges of misconduct may reapply for membership after undergoing discipline as outlined in Section 5 of this Article.

ARTICLE THREE: MANAGEMENT OF CORPORATION

SECTION 1. GOVERNING BOARD:

This church will be governed by one Board of Directors, which will be known as the Governing Board, to oversee the business affairs of this church.

A. Composition:

Officers of this church will consist of Pastor as President, Secretary, Clerk, Treasurer, and Members at Large. Additional officers may include Associate Pastor, Worship Leader, Elders, Deacons, Assistant Treasurer, etc, as deemed necessary.

B. Qualifications:

Officers will be men and women of mature Christian experience and knowledge, who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6, and are active members of this church.

C. Nominations:

Governing Board will be the nominating committee for all elected positions. Other nominations will be entertained from the floor at the Annual Meeting.

D. Election:

Voting members of this church will vote on officers (excluding Pastors, Elders, Worship Leader, and Deacons) yearly at the annual meeting.

E. Duties:
  1. Will manage the internal business affairs of this church.

  2. Will be authorized to transact business for this church between Annual Membership Meetings, except in those matters which by their very nature affect the entire church body, including but not limited to those circumstances and or transactions stated in Article 6: Property and Contracts of these bylaws.

  3. Will be specifically responsible for overseeing the business activities of this church, including but not limited to the entering into of contracts, owning, holding in trust, using, selling, conveying, mortgaging, leasing, or otherwise acquiring or disposing of such property as may be needed for the execution of its work and consistent with Article 6 of these bylaws. They will serve as trustees of the corporation and be responsible for maintenance of church buildings and equipment.

  4. Will consider applications for church membership and make decisions with respect to receiving applicants into church membership as recommended by the Board of Elders.

  5. Will appoint such committees as may be necessary. All committees so appointed will be amenable to and work under the supervision and control of the Governing Board.

F. Vacancy:

In the event a vacancy occurs on the Governing Board, the Governing Board will be empowered to appoint a successor to serve until the next Annual Meeting.

G. Suspension:

If a member of the Governing Board comes under discipline as outlined in Article 2 Section 5, then it may be necessary to suspend said member (remove from active duties on the Governing Board.) The terms of such suspension will be determined by a 2/3rds vote of the Governing Board.

H. Removal:

Any Elected Officer of the Governing Board may be removed from the Governing Board by a 2/3rds vote of those members of this church, at a special meeting called for that purpose, for not maintaining the qualifications as outlined in I Timothy 3 and Acts 6.

SECTION 2. ELDER BOARD:

A. Qualifications:

Elders will be men and women of mature Christian experience and knowledge who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6 and are active members of this church.

B. Appointment:

The Senior Pastor, Associate Pastor, and other Elders make appointments to the Elder Board.

C. Duties:
  1. Will act in an advisory capacity (only) with the Senior Pastor and Associate Pastor in all matters pertaining to the church's spiritual life.

  2. Will be Spiritually 'one in Christ' with Senior Pastor, Associate Pastor, and other Elders.

  3. Will be the Spiritual leaders of the Church Body.

  4. Will oversee Board of Deacons.

  5. Will oversee all pulpit supply when the office of President is vacant.

  6. Will review and recommend applicants for membership as delineated in Article 2.

  7. Will assist Senior Pastor and Associate Pastor in administering Church discipline as per Matthew chapter 18 and as delineated in Article 2 Sections 5 and 6.

D. Removal:

Senior Pastor may remove any Elder at his/her discretion without cause.

SECTION 3. DEACON BOARD:

A. Qualifications:

Deacons will be men and women of mature Christian experience and knowledge who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6, and are active members of this church.

B. Appointment:

Senior Pastor, Associate Pastor, and Elders make appointments to the Deacon Board.

C. Duties:
  1. Will be servers to the congregation.

  2. Will prepare, serve, and dispose of the Communion elements.

  3. Will assist in Baptism services.

  4. Will carry-out visitation.

  5. Will supervise welcome & ushering.

  6. Will carry out any other functions as deemed necessary by Pastors and Elders.

D. Removal:

Senior Pastor may remove any deacon at his/her discretion without cause.

SECTION 4. PRESIDENT:

Senior Pastor will be the president of this church and will act as Chairman of the Governing Board. The President shall hereafter be known as the Senior Pastor.

No person will be invited to speak, preach, or teach in the church without the Senior Pastor's permission and approval.

SECTION 5. SENIOR PASTOR:

A. Qualifications:

Will hold current credentials with Gospel Crusade Ministerial Fellowship, Inc.

B. Selection:

In the event of a vacancy in the pastorate, a Senior Pastor will be selected in the following manner:

  1. The Elders will act as the Pulpit Committee for the church and will immediately make contact with Gospel Crusade Ministerial Fellowship, Inc. Area Coordinator for advice and recommendations as to appropriate candidates.

  2. After prayerful consideration, nominations will be made to the Deacons and Governing Board who will then request individuals to candidate. All candidates, after candidating, must meet the approval of Elders, Deacons, and Governing Board before being presented to the Church Body for a vote of approval.

  3. Only one candidate at a time will be considered.

C. Election:

A 2/3rd vote of the active voting members present at a special meeting is required to elect the Senior Pastor.

D. Term of Office:

Will be for an indefinite duration.

E. Duties:
  1. Will be considered as the spiritual overseer of the church and will direct all of its activities. He/She will not be managed by the Governing Board or Elder Board in these matters, although he will be by Gospel Crusade Ministerial Fellowship, Inc. The Pastor will, however, consider advice given by the Governing Board or Elder Board, but always rely on the Holy Spirit for guidance in all matters.

  2. Will provide for all the services of the church and will arrange for all special meetings, conventions, or revival campaigns.

  3. May choose to be a member of all committees and departments.

F. Resignation:

It is recommended that the Senior Pastor give six weeks Notice of Intent to resign. Resignation will be submitted to the Secretary. If the resignation states that it is to be effective upon a particular date, then said date becomes the effective date. The Governing Board need not take any, official action to receive or accept a letter of resignation.

G. Removal:
  1. Cause: Senior Pastor may be removed only for cause - cause being defined as a failure to maintain the qualifications as per Section 5 A, unscriptural conduct, or departure from the Tenets of Faith held by, this church.

  2. Investigation: In the event charges based on grounds for cause are preferred against the pastor, the Governing Board will conduct a preliminary investigation.

  3. Notice: The Governing Board will determine the facts as best they can, recording those facts. If the facts supporting the complaint are determined facially groundless, it will be dismissed with prejudice*. (No further action will be taken, and if a member is the source of the complaint, said member will have no further fight of redress in either the civil courts or elsewhere.) In the event that facts supporting the complaint have some merit, a preliminary hearing will be conducted before the Governing Board with a designated representative from Gospel Crusade Ministerial Fellowship, Inc. presiding as chairman. The pastor will be given written notice by certified mail delineating the charges. Receipt of said notice should be presumed three business days after said notice is mailed. The pastor will have the fight to cross-examine any witness testing against him/her.

  4. Hearing: If after the preliminary hearing the board decides the charges are unjustified, said complaint will be dismissed with prejudice*. In the event the charges are considered substantiated, and there is no other apparent solution, the matter will be referred to a hearing within fourteen days before the active voting members of this church. Said meeting will be chaired by a representative from Gospel Crusade Ministerial Fellowship, Inc. The pastor is entitled to all fights possessed at the initial hearing during this second hearing. A 2/3rds vote of all active members, present and voting, will be required to dismiss a pastor and sustain the action of the board.

Note: Only those members actually present will be entitled to cast a vote. The Senior Pastor has no right to the presence of an attorney at the said hearing but does have a right to present his/her defense and cross examine witnesses who testify against him/her.

(*) Prejudice refers to the fact that the complaint has been dismissed and will not be considered again in any fashion.

SECTION 6. ASSOCIATE PASTOR:

A. Qualifications:

Qualifications are the same as those required of the Senior Pastor listed in Article 3, Section 5 of these bylaws.

B. Selection:

The Associate Pastor(s) will be chosen by the Senior Pastor and ratified by the Governing Board.

C. Removal:

The Senior Pastor, at will, may remove the Associate Pastor. No ratification by the Governing Board is necessary, nor does the Associate Pastor have any appeal. Upon resignation or removal of the Senior Pastor, the Associate Pastor may also resign.

D. Resignation:

Will be governed in the same manner as that listed in Article 3 Section 5 of these bylaws governing resignation of the Senior Pastor.

E. Duties:
  1. Work with the Senior Pastor to effectively fulfill the shepherding of the flock.

  2. Oversee all leadership of the church and fulfill the duties of the Senior Pastor, in his absence.

  3. Perform other duties as assigned by the Senior Pastor.

SECTION 7. WORSHIP LEADER:

A. Qualifications:

Will be of mature Christian experience and knowledge who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6, and is an active member of this church and who must have a heart for worship and be musically inclined.

B. Selection:

The Senior Pastor appoints the Worship Leader.

C. Removal:

The Senior Pastor may remove the Worship Leader without cause. No ratification by the Governing Board is necessary, nor does the Worship Leader have any appeal. Upon resignation or removal of the Senior Pastor, the Worship Leader may also resign.

D. Duties:
  1. Lead the congregation into the presence of the Lord.

  2. Prayerfully consider, appoint, and oversee Worship Team members.

  3. Train, lead, and encourage members of the Worship Team and congregation as deemed appropriate.

  4. Recognize those with leadership qualifies; encourage and train the individual(s) in a leadership role.

  5. Be responsible for keeping abreast of current trends in worship.

  6. Reports to the Governing Board any needed expenses.

SECTION 8. TREASURER:

A. Qualifications:

Will be of mature Christian experience and knowledge who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6, and is an active member of this church and one trained in Business Administration and capable of using computerized methods.

B. Selection:

Elected per Article 3 Section 1 paragraph C and D.

C. Duties:

Ensure the following functions are performed:

  1. Offerings are to be counted by two or more persons and totals recorded in a permanent record.

  2. Make checks out for the prompt payment of items authorized by the Governing Board.

  3. Provide a monthly written report to the Board of all income, expenses, and fund balances; prepare a quarterly budget reconciliation report; prepare year-end financial report and proposed budget for approval to the Governing Board.

  4. Insist that church financial records be audited at yearly intervals by an accounting firm designated by the Governing Board.

  5. Ensure that records will be accessible to the Pastor or Pastors and all Governing Board members at all times upon request.

  6. Train Assistant Treasurer in the responsibilities of Treasurer.

  7. Complete all required Federal and/or State reporting, requirements in a timely fashion.

SECTION 9. ASSISTANT TREASURER:

A. Qualifications:

Will be of mature Christian experience and knowledge who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6 and is an active member of this church and the ability to utilize equipment and is acquainted with Financial Record Keeping and be willing to be trained in the Treasurer's duties.

B. Selection:

Elected per Article 3, Section I, paragraph C and D.

C. Duties:
  1. Assist the Treasurer in all areas as deemed necessary.

  2. Be available to sign checks in the absence of the Treasurer.

SECTION 10. CHURCH CLERK:

A. Qualifications:

Will be of mature Christian experience and knowledge who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6, and is an active member of this church and is capable of using computerized methods.

B. Selection:

Elected per Article 3, Section 1, paragraph C and D.

C. Duties:
  1. Take minutes at Governing Board, Annual and any special meetings called by the church and disseminate such to the Governing Board in a timely fashion.

  2. Give a verbal report at the above meetings, reading the report of previous meetings.

  3. Provide written Monthly Governing Board agenda and disseminate to Governing Board Members.

  4. Provide articles for Annual Membership Meeting, and post at least two weeks prior to the Annual Meeting.

SECTION 11. CHURCH SECRETARY:

A. Qualifications:

Will be of mature Christian experience and knowledge who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6, and is an active member of this church and is capable of using computerized methods.

B. Selection:

Elected per Article 3, Section 1, paragraph C and D.

C. Duties:
  1. Carry out the correspondence for the Church as directed by the Senior Pastor, Associate Pastor, or Treasurer.

  2. Assist the clerk as requested

SECTION 12. MEMBER AT LARGE:

A. Qualifications:

Will be of mature Christian experience and knowledge who will be expected to meet and adhere to the requirements as set forth in I Timothy 3 and Acts 6, and is an active member of this church.

B. Selection:

Elected per Article 3, Section 1, paragraph C and D.

C. Duties:
  1. To serve on the Governing Board representing the congregation with their vote at said meetings.

  2. Provide a forum with the congregation.

ARTICLE FOUR: DEPARTMENTS & COMMITTEES

The Governing Board will appoint such departments and committees as are necessary to manage the business affairs of the church, and they will operate under the supervision of and be amenable to the Governing Board.

ARTICLE FIVE: COMPENSATION

The Senior Pastor and other persons who are supported in whole or part by this church will have such compensation reviewed by the Governing Board at least thirty days prior to the commencement of this church's fiscal year.

ARTICLE SIX: PROPERTY AND CONTRACTS

Section 1: All property, real or chattel, will be held in the name of the corporation or Gospel Crusade Ministerial Fellowship, Inc.

Section 2: Real Property: No real property of this church will be purchased, sold, leased, mortgaged, or otherwise alienated without same having been authorized by at least a 2/3rds vote of those active voting members present at any special meeting called for such purpose or at an Annual Meeting, only if such transaction is on the agenda.

Section 3: Personal Property: Except transactions amounting to $5,000 or less, no personal (chattel) property will be bought or sold without same having been authorized by at least a 2/3rds vote of those active voting members present at any special meeting called for such purpose or at an Annual Meeting only if such transaction is on the agenda.

ARTICLE SEVEN: AMENDMENTS

Amendments to these bylaws may be made at any annual meeting if it is on the agenda or special meeting of the voting members of this church body and will be adopted only upon receiving a majority vote of all listed, active voting members (in good standing), whether present or not.

Note: Only those members present and whose names appear on the active membership roster have the right to cast a vote. Absentee ballots or voting by proxy will not be accepted.
